These Terms of Service ("Terms") are a legal agreement between you ("you" or "Customer") and Heros Consulting Inc., a California corporation ("Heros Consulting," "we," "us," or "our"), governing your use of the CleanOS website at herosconsulting.ai and the CleanOS web application (collectively, the "Service").
By creating an account, subscribing to a paid plan, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and have authority to bind your business to these Terms. The Service is for use by commercial cleaning business owners and operators. You agree to provide accurate information when creating an account and to keep it accurate.
You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at oscar@herosconsulting.com if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.
The Service is offered on monthly and annual subscription plans. Current pricing is shown on the pricing page. We may change pricing for future billing periods; we will give you at least 30 days' notice before any change affecting your subscription.
Your subscription renews automatically. When you start a subscription, you authorize Heros Consulting Inc. (through our payment processor, Stripe) to charge your payment method on a recurring basis — monthly for monthly plans, annually for annual plans — at the then-current price, including applicable taxes, until you cancel. Charges appear on your statement as "HEROS CONSULTING" or "CLEANOS." You can cancel at any time as described in Section 3.4.
If your plan includes a free trial or a discounted introductory period, the discount applies only to the initial term. After the trial or introductory period ends, your subscription renews at the standard recurring price disclosed at sign-up, unless you cancel before the end of that period.
You can cancel your subscription at any time:
Cancellation takes effect at the end of your current billing period. You retain access until that date and you will not be charged again. We honor cancellation as easily as you signed up, consistent with applicable law including the FTC's "Click-to-Cancel" rule.
Subscription fees are generally non-refundable, except as follows:
Annual plans cancelled mid-term are not refunded for the unused portion, except as required by law. Cancel before your annual renewal date to avoid the next year's charge.
Prices shown are exclusive of taxes unless stated otherwise. You are responsible for any sales, use, VAT, or similar taxes owed on your subscription. We will collect and remit where required by law.
If a charge fails, we will retry over several days. If we cannot collect payment, we may suspend or downgrade your account until the balance is paid.
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
You agree not to, and not to allow anyone else to:
We may suspend or terminate accounts that violate this Section without refund.
You retain all rights in the content you submit to the Service (your business inputs, prospect lists, proposal text, etc.). You grant us a limited license to host, process, transmit, and display your content as needed to operate the Service.
We do not use your business inputs to train AI models. Outputs from AI-powered features (CLEO, lead research, drafts) are provided to assist you; you are solely responsible for reviewing, verifying, and using those outputs in your business — including for accuracy, legal compliance, and tone.
The Service includes features powered by third-party large language models (OpenAI, Anthropic). These features:
You are responsible for verifying AI-generated content before sending it to a prospect, customer, employee, or regulator.
When you use the Service to draft or send outbound emails, calls, or messages to prospects:
The Service, including its software, design, content (other than your business inputs), trademarks, and trade dress, is owned by Heros Consulting Inc. and protected by US and international law. Nothing in these Terms transfers ownership of our intellectual property to you.
The Service integrates with third-party services (Supabase, Stripe, OpenAI, Anthropic, Instantly.ai, Netlify). Your use of those services is also subject to their respective terms. We are not responsible for third-party services or for any change, suspension, or termination of them.
The Lead Finder surfaces commercial-property prospects sourced from licensed third-party B2B data providers. We do not guarantee the accuracy, completeness, or current contactability of any record. You are solely responsible for (a) verifying contact details before reaching out, (b) honoring opt-out and Do-Not-Call requests, (c) complying with CAN-SPAM, TCPA, CCPA/CPRA, GDPR, and any other law applicable to your outbound communications, and (d) maintaining suppression lists across your campaigns.
You may cancel at any time per Section 3.4. We may suspend or terminate your access if you breach these Terms, if your account is overdue on payment, or if we reasonably determine that continued provision of the Service would expose us to legal or security risk. We will give you reasonable notice unless prompt action is required to protect users or the Service.
Sections that by their nature should survive termination (including 5, 6, 7, 9, 12, 13, 14, and 16) survive.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, secure, or free of harmful components. Heros Consulting does not warrant that AI-generated content is accurate, complete, current, or suitable for any particular use.
To the maximum extent permitted by law, in no event will Heros Consulting Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with the Service, even if advised of the possibility of such damages.
Heros Consulting's total cumulative liability arising out of or in connection with the Service will not exceed the greater of (a) the amount you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (US $100).
Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
You will defend, indemnify, and hold harmless Heros Consulting Inc. and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in breach of these Terms; (b) your business inputs or outbound communications you send through the Service; (c) your violation of any law or the rights of any third party.
We may modify the Service at any time. We may modify these Terms by posting an updated version and updating the "Effective date" above; if changes are material, we will notify you by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Sacramento County, California, and you and Heros Consulting consent to personal jurisdiction and venue there. Nothing in this Section limits your rights under any non-waivable consumer-protection law in your jurisdiction of residence.
